Notification from Nationale-Nederlanden Powszechne Towarzystwo Emerytalne S.A.
Santander Bank Polska S.A. ("the Bank") hereby informs that on 20th December 2019 it received from Nationale-Nederlanden Powszechne Towarzystwo Emerytalne S.A. ("Towarzystwo") the notification that as a result of the acquisition of the Bank's shares by managed by Towarzystwo: Nationale-Nederlanden Otwarty Fundusz Emerytalny ("OFE") and Nationale-Nederlanden Dobrowolny Fundusz Emerytalny ("DFE") they increased the Bank's share ownership in excess of 5% of votes at the Bank's General Shareholders' Meeting.
As per information contained in the said notice: 1. Date and type of event triggering the change of shareholding that the notification refers to:
Acquisitions of shares that were settled on 12th December 2019.
2. Number of shares held by OFE and DFE before the change of shareholding and the percentage of share capital in represents and the number of votes attached to these shares and the percentage of the total number of vote they represent:
Number of shares: 5,104,000 representing 4.99% of the Bank's share capital Number of votes carried by these shares:
5,104,000 representing 4.99% of the total numer of votes at the Bank's General Meeting of Shareholders.
3. Number of currently held shares and the percentage of share capital they represent plus the number of votes attached to these shares and the percentage of the total number of votes they represent.
On 12th December 2019, on the OFE's and DFE's securities account 5,108,581 Bank's shares were stored, which represent 5.00% of the Bank's share capital. These shares entitle to 5,108,581 votes at the Bank's General Meeting of Shareholders, which represents 5.00% of the total number of votes at the Bank's General Meeting of Shareholders.

Art. 70 item 1 in relation to Art. 69 clause 1 item 1 and in relation to art. 87 clause 1 item 2b of the Act dated 29 July 2005 on public offerings and conditions of introducing financial instruments to organized trading, and on public companies.
