Issuance of senior preferred bonds series 1/2025.

In relation to Current Report 6/2024 of 19 February 2024 the Management Board of Santander Bank Polska S.A. ("Bank") hereby reports that on 7 November 2025 it decided to issue senior preferred bonds series 1/2025 ("Bonds") as part of the programme for the issue of bonds with the following terms and conditions:

The settlement of the issue will take place on 1 December 2025 ("Issue Date");
The total nominal value of the Bonds will be up to PLN 3,000,000,000.00;
The Bonds will be redeemed on 1 December 2028 ("Maturity Date") subject to the Bank's right to execute the call option;
The nominal value of one Bond will be PLN 500,000.00;
The issue price of the Bonds will be equal to their nominal value;
The Bonds will bear a floating interest rate equal to the sum of 6M WIBOR and the margin of 1.10% on annual basis;
The Bonds will be issued as liabilities which can be classified as eligible liabilities as defined in the Act of 10 June 2016 on the Bank Guarantee Fund, deposit guarantee scheme and resolution;
All benefits arising from the Bonds will be cash benefits;
The Bonds will not be secured;
The Bank's liabilities under:
- the nominal value of the Bonds shall constitute liabilities belonging to category three, subcategory four, referred to in Article 440(2)(3)(d) of the Act of 28 February 2003 - Bankruptcy Law; and
- interest on the Bonds shall constitute liabilities belonging to category four, subcategory one, referred to in Article 440(2)(4)(a) of the Act of 28 February 2003 - Bankruptcy Law;
The Bonds will be issued as dematerialised bearer Bonds and will be registered in the securities depository kept by Krajowy Depozyt Papierów Wartościowych S.A.;
The Bank will apply for the admission of the Bonds to trading in the Alternative Trading System of the Warsaw Stock Exchange.
