Candidate for the Supervisory Board and drafts of EGM resolutions submitted by the shareholder

The Management Board of Santander Bank Polska S.A. ("the Bank") informs that on 12 September 2019 it received from its shareholder - Banco Santander S.A. with its registered office in Santander (Spain):

• candidature of Ms Isabel Guerreiro for a member of the Supervisory Board together with her resume and
• draft resolutions of the Extraordinary General Meeting convened for 23 September 2019 related to items 7, 10 and 11 of the Agenda, i.e. the drafts resolution (i) re appointing the Supervisory Board Member, (ii) re amendment to the Bank's Statute and (iii) re determination of the remuneration for newly appointed Supervisory Board Member and amendments to the Annual General Meeting resolution no. 41 dated 17 May 2017 re. determining the remuneration of the Supervisory Board members.

Isabel Guerreiro's resume and the drafts resolutions submitted by a shareholder are attached to this report.

Recommendation of the Nominations Committee of Bank's Supervisory Board on proposed candidate together with the outcome of suitability assessment will be posted on the Bank's website: www.santander.pl/wza
