Commencement of discussions with Santander on acquisition of Santander Consumer Bank.

In reference to publicly available information regarding the agreement reached by Banco Santander, S.A. ("Banco Santander") and Erste Group AG ("Erste") for the acquisition by Erste of 49% of shares in the Santander Bank Polska S.A. ("Bank") share capital and the 50% stake in Santander Towarzystwo Funduszy Inwestycyjnych S.A. not owned by the Bank, and Santander's intention to take full ownership of Santander Consumer Bank S.A. ("Santander Consumer") (the "Santander Consumer Acquisition"), the Bank informs that on 12.05.2025 it decided to start discussions with Santander for the purpose of the Santander Consumer Acquisition.

In particular, the commencement of the discussions regarding the Santander Consumer Acquisition does not mean that the transaction has been finally decided. The Bank's governing bodies have not yet made any binding decisions regarding the realization of the transaction. The Bank will inform about the decisions related to the agreement regarding the transaction, which will be the subject of the talks, in a separate current report when appropriate.
